TERMS OF SERVICE AGREEMENT
 
 
The following Terms of Service Agreement (the “Agreement”) is effective June 20, 2011

 
WHEREAS, One Call is in the business of dispatch and logistics services relating to Medical and Non-Medical Ground Transportation and

 
WHEREAS, this Agreement contains One Call's terms of engagement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereto, intending, to be legally bound, agree as follows:
 
1.     SERVICES PROVIDED
 
One Call is prepared to provide the following professional services to Customer: Ground Transportation Management Dispatch and Logistics Services including; Ambulance Transportation, Stretcher Transportation, Wheelchair Transportation, Limousine/Sedan Transportation, Taxi Transportation
 
 
2.     CALCULATION OF FEES AND OTHER CHARGES
 
a.     Fees for transports to be performed by One Call are determined on a case by case basis. In most cases, a quotation will be provided to the Customer prior to the delivery of service. The quotation will set forth the estimated cost and will detail the costs of any additional services that might be utilized such as waiting time, etc. If the final cost differs from the estimated cost, One Call will furnish the Customer with a final cost document detailing the additional charges.
 
b.    Confirmation or booking of a transport by Customer whether by telephone, email or fax constitutes acceptance of the quotation along with the cost of any additional services if utilized.
 
c.     Before any bill is sent to Customer, One Call's Manager responsible for the invoicing will review it to ensure that fees and other charges are appropriate.
 
 
 
3.     BILLING
 
a.     Billing occurs at the end of each week every Friday and includes invoices for work performed during that week.
 
b.    Bills are payable within 30 days of the date of invoice.
 
c.     Bills are payable in US Dollars
 
4.     NON-PAYMENT
 
a.     In the event that Customer fails to pay for services rendered, the Customer shall be responsible for all legal fees and costs incurred by One Call in attempting to collect the outstanding balance due and owing.
 
b.    In the event that there is a claim for breach asserted by One Call, then the laws of the State of Illinois shall govern.
